1. Acceptance of Terms
By accessing or using Oaksend Woodworking ("Oaksend," "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including free-tier and Pro subscribers.
2. Description of Service
Oaksend is a woodworking shop management application that provides tools for lumber inventory tracking, project management, CNC feeds and speeds calculation, invoicing, client communication, and AI-assisted workshop guidance ("Oakley AI"). The Service is available via web browser at oaksendwoodworking.com.
3. Account Registration
To access most features, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the security of your password and accept responsibility for all activity under your account
- Notify us immediately at [email protected] of any unauthorized use
- Not create accounts using disposable, fake, or another person's email address
We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, are being used fraudulently or abusively.
4. Subscription Plans and Billing
Oaksend offers a free tier with limited features and a Pro subscription with full access.
- Free tier — access to calculators, one project, and limited notes; no payment required
- Pro subscription — full access to all features; billed monthly or annually as displayed at checkout
Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through Settings → Subscription; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.
5. Acceptable Use
You agree not to use Oaksend to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of others
- Transmit spam, malware, or other harmful content
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Scrape, crawl, or systematically extract data from the Service without written permission
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Use the Service for any unlawful, harmful, or fraudulent purpose
6. Your Content
You retain ownership of all content you create in Oaksend (projects, notes, inventory data, etc.). By using the Service, you grant us a limited, non-exclusive license to store, process, and display your content solely as necessary to provide the Service. We do not claim ownership of your data and will not use it for any purpose beyond operating and improving Oaksend.
7. Oakley AI Disclaimer
The Oakley AI assistant provides suggestions, calculations, and guidance based on general woodworking knowledge. AI-generated content may contain errors. You are solely responsible for verifying any information before applying it to your projects. Oaksend is not liable for any damages arising from reliance on AI-generated content.
8. Intellectual Property
The Oaksend name, logo, application design, and all original content (excluding user-generated content) are the intellectual property of Oaksend Woodworking and are protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OAKSEND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination by contacting us.
12. Governing Law
These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Utah.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting an update in the application or by email. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
